Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Ultimate Bots (“Ultimate Bots”, “UFB”, “we”, “us”). They cover ultimatebots.com, the account portal, Ultimate Bots Studio, WBT Bench, the robot control tools, our APIs, our apps and our events (the “Services”).

By creating an account, checking the box at sign-up, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you use the Services for an organization, you agree on its behalf and confirm you are allowed to.

You must be at least 13 years old (or the minimum age of digital consent where you live, if higher). If you are under the age of majority where you live, a parent or guardian must agree to these Terms for you. Some programs, events and features have higher age limits or extra requirements, which we will tell you about.

Give us accurate information and keep it up to date. Keep your password and API tokens secret — you are responsible for everything that happens under your account. Tell us at contact@ufb.gg right away if you think your account has been compromised. One person per account; do not sell, transfer or share it.

Ultimate Bots is a platform that other companies and developers build on. We operate APIs that let approved partners and developers (“Partners”) access information about Ultimate Bots users so they can offer their own products, communities, events and services to you.

By creating an account and using the Services, you agree and consent that we may collect your information and share it with Partners, and that Partners may access, store and use it, as described in our Privacy Policy. This includes your account ID, username, display name, email address, connected accounts such as Discord, account status, sign-up and activity dates, program and team membership, activity on the Services, and content you have made public.

Partners must agree to terms with us that limit how they use this information, but their own terms and privacy policies govern their products, and we are not responsible for them. You can ask us to stop sharing your information with Partners at any time by emailing contact@ufb.gg; doing so may mean some programs or Partner features no longer work for you.

You keep ownership of the videos, motions, projects, policies and other content you upload or create (“Your Content”).

You give Ultimate Bots a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, copy, process, adapt, display, perform and distribute Your Content to operate, promote and improve the Services — including converting videos to robot motion, running motions on robots and in simulation, training and evaluating our models and policies, and making content you share or publish available to other users and to Partners. This license ends when you delete Your Content, except for copies already shared, used in league events or broadcasts, or kept as required by law.

You confirm that you have the rights to Your Content, including permission from anyone who appears in a video you upload, and that it does not break the law or anyone else’s rights.

Do not:

• break the law or infringe anyone’s rights;
• upload content that is illegal, hateful, harassing, sexually explicit, or that shows someone without their permission;
• use the Services, our robots or any motion to cause, or attempt to cause, harm to people or property;
• access accounts, systems, robots or data you are not authorized to, or probe, scan or test our security without written permission;
• scrape the Services or overload them, or get around rate limits, access controls or bot protection;
• reverse engineer the Services except where the law allows it; or
• impersonate anyone, or misrepresent your connection with Ultimate Bots.

Some features let you control, program or send motions to physical robots. Robots can move fast and unpredictably. Follow every safety instruction from our staff, never control a robot near people unless you are told it is safe, and stop immediately if asked.

Programs such as pilot, ghost, captain and hackathon programs, and live events, may have their own rules, rule book and ticket terms, which apply in addition to these Terms. By attending an event you accept the risks of being near robots in motion, and you agree that we may photograph and record you and use your name, likeness and voice in recordings of the event.

If we give you API keys or tokens, keep them secret and use them only as we allow. Information you receive about other users through our APIs may be used only for the purpose we approved, must be protected, and must be deleted when we or the user ask. We may set rate limits and change, suspend or revoke API access at any time. Separate partner agreements override this section where they conflict.

The Services, including our software, robots’ designs, names, logos, broadcasts and content we provide, belong to Ultimate Bots and our licensors. We give you a personal, revocable, non-exclusive, non-transferable license to use the Services as these Terms allow. Do not use our trademarks without permission. If you send us feedback or ideas, we may use them without owing you anything.

The Services link to and work with services we do not control, such as Discord, ticketing providers and Partner products. Your use of them is governed by their own terms, and we are not responsible for them.

You can stop using the Services at any time and ask us to delete your account by emailing contact@ufb.gg. We may suspend or end your access, or remove content, if you break these Terms, if required by law, or to protect the Services, our users or the public. Sections that by their nature should survive termination — including content licenses already granted, disclaimers, limits of liability and dispute terms — survive.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT CONTENT WILL NOT BE LOST, OR THAT MOTIONS, SIMULATIONS OR BENCHMARK RESULTS WILL BE ACCURATE OR SAFE TO RUN ON ANY ROBOT. Features labelled beta, preview or experimental may change or be removed.

TO THE FULLEST EXTENT ALLOWED BY LAW, ULTIMATE BOTS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, PARTNERS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR US$100. Some places do not allow these limits, so they may not fully apply to you.

You will defend and indemnify Ultimate Bots and its affiliates, officers and employees against claims, losses and costs (including reasonable legal fees) arising from Your Content, your misuse of the Services, or your breach of these Terms or of the law.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules, except where the law of the country you live in requires otherwise. Before filing a claim, please email contact@ufb.gg so we can try to resolve it informally. Nothing in these Terms takes away rights you have as a consumer that cannot be waived under the law where you live.

We may change these Terms. We will post the new version here with a new effective date and, for significant changes, tell you by email or in the Services before they take effect. If you keep using the Services after that, you accept the new Terms.

These Terms, together with the Privacy Policy and any program, event or partner terms that apply to you, are the whole agreement between you and us about the Services. If any part is unenforceable, the rest still applies. Our not enforcing a provision is not a waiver. You may not transfer these Terms; we may transfer them in connection with a merger, acquisition or sale of assets. Questions: contact@ufb.gg.
